Licensing Agreement
Preamble
This Licensing Agreement ("Agreement") is entered into between the event organizer ("Licensee") and WI Posha Allegro Carnival, BT (WVL Carnival) ("Licensor"). This Agreement grants the Licensee the right to host a "WI Posha Allegro Carnival (WVL Carnival) Sanctioned Event" under the specific terms and conditions outlined in the selected license tier.
1. Definitions
- Event: The performance or gathering organized by the Licensee.
- Licensee: The individual or organization purchasing the license.
- Licensor: WI Posha Allegro Carnival, BT (WVL Carnival).
- Term: The duration for which the license is valid, typically one year from the date of purchase, unless specified otherwise.
2. General Obligations
Promotion
The Licensee agrees to prominently feature the phrase "WI Posha Allegro Carnival, Sanctioned Event or WVL Carnival Sanctioned Event" in all promotional materials, both digital and print.
Insurance
The Licensee is responsible for obtaining and maintaining adequate liability insurance for the event. All suppliers, vendors, performers, and technicians must also provide proof of their own liability insurance. The Licensee shall provide the Licensor with a certificate of insurance upon request.
Compliance with Laws
The Licensee agrees to comply with all applicable local, state, and federal laws, regulations, and ordinances in the execution of the event.
Indemnification
The Licensee agrees to indemnify, defend, and hold harmless the Licensor, its officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorneys' fees and costs, arising out of or in any way connected with the Licensee's event, including, but not limited to, any claims for personal injury, property damage, or infringement of intellectual property rights. The Licensee's obligations under this clause shall survive the termination or expiration of this Agreement.
3. Payment and Cancellation
Payment
Full payment for the selected license tier is due upon signing this Agreement, unless otherwise specified.
Cancellation by Licensee
All license fees are non-refundable. If the Licensee cancels the event, no refund will be issued.
Cancellation by Licensor
The Licensor reserves the right to revoke the license and cancel the event sanctioning if the Licensee is found to be in breach of any terms of this Agreement.
4. Virtual Chandelier Sponsorship Specific Terms
Program Goal
To bridge the gap between digital content and physical venues, creating a mutually beneficial relationship between venues, performers, and the WVL Carnival platform.
Venue Benefits
Gain targeted marketing through authentic content created by performers. Drive a relevant, engaged audience directly to your venue.
Performer Benefits
Receive a new revenue stream through official performance royalties and gain credibility from a sponsored venue partnership.
Pricing Model
The sponsorship is complimentary for the first 90 days. Afterward, a monthly subscription of $9.95 is required to continue the sponsorship.
Chandelier Pack
Venues will receive a digital "Chandelier Pack" containing official WVL Carnival branding and logos. This pack must be provided to the sponsored performer for use during their official performance streams.
Exclusivity
This license grants the venue the right to sponsor performers under the WVL Carnival brand. The performers are independent but are endorsed by the venue for the duration of the sponsorship.
Venue Responsibility
The sponsoring venue is responsible for paying all performance art royalties directly to the performer.
Performer Responsibility
The performer is responsible for all aspects of their performance, including content, scheduling, and production, giving them full creative freedom.
Branding Requirement
Both the venue and the performer are required to display the official WVL Carnival Chandelier logo during all sponsored online performances where a physical chandelier is not present.
