Licensing Agreement

Preamble

This Licensing Agreement ("Agreement") is entered into between the event organizer ("Licensee") and WI Posha Allegro Carnival, BT (WVL Carnival) ("Licensor"). This Agreement grants the Licensee the right to host a "WI Posha Allegro Carnival (WVL Carnival) Sanctioned Event" under the specific terms and conditions outlined in the selected license tier.

1. Definitions

  • Event: The performance or gathering organized by the Licensee.
  • Licensee: The individual or organization purchasing the license.
  • Licensor: WI Posha Allegro Carnival, BT (WVL Carnival).
  • Term: The duration for which the license is valid, typically one year from the date of purchase, unless specified otherwise.

2. General Obligations

Promotion

The Licensee agrees to prominently feature the phrase "WI Posha Allegro Carnival, Sanctioned Event or WVL Carnival Sanctioned Event" in all promotional materials, both digital and print.

Insurance

The Licensee is responsible for obtaining and maintaining adequate liability insurance for the event. All suppliers, vendors, performers, and technicians must also provide proof of their own liability insurance. The Licensee shall provide the Licensor with a certificate of insurance upon request.

Compliance with Laws

The Licensee agrees to comply with all applicable local, state, and federal laws, regulations, and ordinances in the execution of the event.

Indemnification

The Licensee agrees to indemnify, defend, and hold harmless the Licensor, its officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorneys' fees and costs, arising out of or in any way connected with the Licensee's event, including, but not limited to, any claims for personal injury, property damage, or infringement of intellectual property rights. The Licensee's obligations under this clause shall survive the termination or expiration of this Agreement.

3. Payment and Cancellation

Payment

Full payment for the selected license tier is due upon signing this Agreement, unless otherwise specified.

Cancellation by Licensee

All license fees are non-refundable. If the Licensee cancels the event, no refund will be issued.

Cancellation by Licensor

The Licensor reserves the right to revoke the license and cancel the event sanctioning if the Licensee is found to be in breach of any terms of this Agreement.

4. Statewide Master Promoter Specific Terms

Term

This license is valid for one year from the date of purchase and is renewable annually.

Scope and Exclusivity

Grants exclusive master promotional rights for an entire state/province. Only one Statewide Master Promoter license will be issued per state/province.

Primary Duty

The Licensee's core responsibility is to recruit, onboard, and support all Citywide and Local licensees within their territory. This includes coordinating state-level marketing campaigns, ensuring brand consistency, and fostering a collaborative environment. Failure to meet growth and support targets may result in non-renewal.

Legal Compliance

The Licensee is responsible for adhering to all local, state, and federal laws, including any specific event promoter licensing requirements in their jurisdiction (such as those outlined in the California Business and Professions Code for promoters).

Revenue Model

Statewide licensees are eligible to earn a commission on new licenses sold within their territory. This includes a percentage of the license fee from new Local Promoter and Citywide Digital Venue licensees that they successfully recruit and onboard, as per a separate commission agreement.

Non-Interference Clause

The Statewide licensee agrees not to unfairly compete with or block the activities of Citywide or Local licensees. The role is one of strategic support and expansion, not direct operational control over other licensees.

Experience Requirement

Requires a proven track record in business development, marketing, sales, and management.

Renewal Policy

To reward successful partnerships, the Licensor may, at its sole discretion, offer the current Licensee a 30-day exclusive window to negotiate renewal before the license is offered to other parties. The Licensor retains the ultimate right to not renew a license for any reason, including but not limited to underperformance or strategic realignment.
