The ultimate digital license for operating a WVL Carnival presence across multiple countries or on a global scale. This can be operated as a SaaS-style business, for example, by managing a global Alexa Voice Skill.
Licensing Agreement
Preamble
This Licensing Agreement ("Agreement") is entered into between the event organizer ("Licensee") and WI Posha Allegro Carnival, BT (WVL Carnival) ("Licensor"). This Agreement grants the Licensee the right to host a "WI Posha Allegro Carnival (WVL Carnival) Sanctioned Event" under the specific terms and conditions outlined in the selected license tier.
1. Definitions
- Event: The performance or gathering organized by the Licensee.
- Licensee: The individual or organization purchasing the license.
- Licensor: WI Posha Allegro Carnival, BT (WVL Carnival).
- Term: The duration for which the license is valid, typically one year from the date of purchase, unless specified otherwise.
2. General Obligations
Promotion
The Licensee agrees to prominently feature the phrase "WI Posha Allegro Carnival, Sanctioned Event or WVL Carnival Sanctioned Event" in all promotional materials, both digital and print.
Insurance
The Licensee is responsible for obtaining and maintaining adequate liability insurance for the event. All suppliers, vendors, performers, and technicians must also provide proof of their own liability insurance. The Licensee shall provide the Licensor with a certificate of insurance upon request.
Compliance with Laws
The Licensee agrees to comply with all applicable local, state, and federal laws, regulations, and ordinances in the execution of the event.
Indemnification
The Licensee agrees to indemnify, defend, and hold harmless the Licensor, its officers, agents, and employees from and against any and all claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable attorneys' fees and costs, arising out of or in any way connected with the Licensee's event, including, but not limited to, any claims for personal injury, property damage, or infringement of intellectual property rights. The Licensee's obligations under this clause shall survive the termination or expiration of this Agreement.
3. Payment and Cancellation
Payment
Full payment for the selected license tier is due upon signing this Agreement, unless otherwise specified.
Cancellation by Licensee
All license fees are non-refundable. If the Licensee cancels the event, no refund will be issued.
Cancellation by Licensor
The Licensor reserves the right to revoke the license and cancel the event sanctioning if the Licensee is found to be in breach of any terms of this Agreement.
4. International Digital Venue Specific Terms
Term
License term is subject to negotiation, typically starting with a multi-year agreement.
Scope and Exclusivity
Grants master rights to operate the official WVL Carnival digital channel(s) across an entire country or a collection of countries. This is an exclusive, high-level license, limited to one per negotiated territory.
Primary Duty
The Licensee is responsible for large-scale content strategy, international community management, and promoting WVL Carnival as a global brand. This includes managing platforms like a global Alexa Voice Skill or a premier podcast as a SaaS-style business. Performance will be measured against mutually agreed-upon KPIs.
Legal Compliance
The Licensee is responsible for adhering to all local and international laws, including any specific event promoter licensing requirements in their jurisdiction (such as those outlined in the California Business and Professions Code for promoters).
Coordination
Licensee must work in coordination with, not in opposition to, any existing state or city-level licensees within their territory to ensure a cohesive brand message.
SaaS Opportunity
This license is structured to be operated as a Software-as-a-Service (SaaS) business, where the licensee manages a digital platform and its subscribers or users. The licensee is responsible for all technical development and operational costs.
Experience Requirement
Applicants must demonstrate significant experience in international business, digital media, platform management, and SaaS operations.
Renewal Policy
To reward successful partnerships, the Licensor may, at its sole discretion, offer the current Licensee a 30-day exclusive window to negotiate renewal before the license is offered to other parties. The Licensor retains the ultimate right to not renew a license for any reason, including but not limited to underperformance or strategic realignment.
